Annual Returns

Annual return information must be filed by a legal entity every year. This provides updated information about the shareholders, directors, and/or officers of corporations, societies, and non-profit companies.

If the annual return is not filed, an Alberta corporation, society, or non-profit company will ultimately be dissolved. For extra-provincial corporations, failure to file will result in the cancellation of their registration in Alberta.

Corporate Registry mails a pre-printed annual return form one month prior to the anniversary month of incorporation. However, even if this form is lost, the legal entity is still required to file the information. You can bring the form or the required information to an authorized service provider like us for processing.

Amending Notices

Corporations

A corporation may amend its name, share capital, restrictions on share transfers, or other articles. These changes must be filed with an authorized service provider.

Extra-provincial Corporations

An extra-provincial corporation must file certified-true copies of any amendments that were filed in their home jurisdiction with an authorized service provider in Alberta.

Business Names & Partnerships

The partnership name, number of partners, and their contact information may all be amended. This information must be submitted to an authorized service provider.

Societies & Non-profits

Changes to a society's name, objects, or bylaws must be filed in accordance with the Societies Act. Non-profit companies must prepare documents according to the Companies Act. For both, two copies of all documents must be submitted directly to the Corporate Registry Office.
